By placing an order, creating an account, or otherwise engaging with AscendRx (“Company,” “we,” “us,” or “our”), you represent and warrant that you have read, understood, and agree to be bound by these Terms of Service, along with our Privacy Policy, Shipping Policy, and any supplemental terms referenced herein. These Terms constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and AscendRx.
We reserve the right to update, modify, or replace any part of these Terms at our sole discretion. It is your responsibility to review these Terms periodically. Your continued use of the Services following the posting of any changes constitutes acceptance of those changes. Material changes will be indicated by updating the “Last Updated” date at the top of this document.
2. Research-Use-Only Requirement
All products sold by AscendRx are strictly for laboratory research use only. They are not intended for human consumption, veterinary use, food additive use, cosmetic use, or any form of clinical application.
By purchasing or ordering any product from AscendRx, you represent and warrant that:
- You are at least twenty-one (21) years of age.
- You are purchasing the product(s) solely for legitimate laboratory research, scientific investigation, or educational purposes.
- You are affiliated with, employed by, or otherwise represent a bona fide research institution, laboratory, academic facility, or private research entity — or you expressly accept and agree that all materials purchased will be used exclusively for lawful in-vitro research purposes.
- You will not administer, recommend, distribute, or facilitate the use of any AscendRx product for human or animal consumption under any circumstances.
- You possess the necessary knowledge, training, and resources to safely handle research-grade chemical compounds.
- You will comply with all applicable local, state, national, and international laws and regulations regarding the purchase, possession, handling, storage, and disposal of research chemicals and peptides.
AscendRx reserves the right to refuse service, cancel orders, or terminate accounts of any customer who, in our sole judgment, violates or intends to violate these research-use-only requirements.
3. Prohibited Uses
You expressly agree that you will NOT use, or permit any third party to use, any AscendRx product for any of the following purposes:
- Human consumption — including but not limited to oral ingestion, injection, inhalation, transdermal application, or any other route of administration to a human body.
- Veterinary or animal use — administration to any animal for therapeutic, performance-enhancing, or experimental purposes involving in-vivo animal subjects, unless conducted under an approved institutional animal care protocol (IACUC or equivalent).
- Food or beverage additive use — incorporation into any food product, supplement, beverage, or consumable good.
- Cosmetic or personal care use — incorporation into any cosmetic, skincare, haircare, or personal care product intended for topical application to humans.
- Clinical or diagnostic use — use as a diagnostic reagent, therapeutic agent, or in any clinical trial that has not received appropriate regulatory authorization.
- Resale or redistribution — reselling, relabeling, repackaging, or distributing AscendRx products without express written authorization from AscendRx.
- Any illegal activity — use of products in connection with the manufacture of controlled substances, fraud, or any activity prohibited by applicable law.
Violation of these prohibited use provisions constitutes an immediate and material breach of these Terms and may result in account termination, order cancellation, and referral to appropriate legal or regulatory authorities.
4. Account Registration & Eligibility
To place orders on the AscendRx website, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
AscendRx reserves the right to request verification of your identity, institutional affiliation, or research credentials at any time. Failure to provide satisfactory verification upon request may result in account suspension or termination. We reserve the right to refuse registration or terminate any account at our sole discretion, without prior notice, for any reason.
5. Ordering Policies
All orders placed through the AscendRx website are subject to acceptance and availability. Order confirmation does not constitute acceptance. We reserve the right to refuse, cancel, or limit any order at any time, for any reason, including but not limited to: product availability, errors in product or pricing information, or concerns regarding order legitimacy.
Prices for products are subject to change without notice. While we strive to maintain accurate pricing on our website, errors may occur. In the event of a pricing error, AscendRx reserves the right to cancel the order and issue a full refund, or to contact you for instructions before processing. All payments must be made in full at the time of order placement. We accept the payment methods displayed at checkout.
Promotional offers, discounts, or coupon codes may not be combined unless explicitly stated. AscendRx reserves the right to modify or discontinue any promotional offer at any time without prior notice. Institutional and volume pricing is available upon request and subject to separate agreement.
6. Shipping, Handling & Delivery
AscendRx ships to addresses within the jurisdictions we service, subject to applicable legal restrictions. Shipping timelines provided at checkout are estimates and are not guaranteed. We are not responsible for delays caused by carrier issues, weather, customs processing, or events beyond our reasonable control.
Certain products may require special handling, cold-chain shipping, or expedited delivery to maintain compound integrity. Additional shipping charges may apply for such requirements and will be disclosed at checkout. Risk of loss and title for all products pass to you upon our delivery to the carrier. It is your responsibility to ensure that an appropriate recipient is available to accept delivery, particularly for temperature-sensitive shipments.
If a shipment arrives damaged, in incorrect quantity, or with an incorrect product, you must notify AscendRx within forty-eight (48) hours of delivery. We will work with you to resolve the issue through replacement or refund at our discretion. Claims made beyond the 48-hour notification window may not be honored.
7. Returns, Refunds & Cancellations
Due to the nature of research-grade chemical compounds, all sales are final unless the product received is demonstrably defective, damaged during transit, or materially different from what was ordered. AscendRx does not accept returns of opened, used, or improperly stored products.
Orders may be cancelled without penalty if cancellation is requested before the order has been shipped. Once an order has entered the fulfillment process, cancellation may not be possible. Refunds, when approved, will be processed to the original payment method within ten (10) business days. Shipping costs are non-refundable unless the return is due to our error.
8. Intellectual Property
All content on the AscendRx website — including but not limited to text, graphics, logos, trademarks, trade dress, icons, images, product descriptions, research summaries, blog articles, and software — is the exclusive property of AscendRx or its content licensors and is protected by United States and international copyright, trademark, and intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our website without prior written consent, except as incidental to normal web browsing (e.g., temporary caching). The AscendRx name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of AscendRx. You must not use such marks without our prior written permission.
9. Disclaimer of Warranties
ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ASCENDRX DOES NOT WARRANT THAT PRODUCTS WILL MEET YOUR SPECIFIC RESEARCH REQUIREMENTS OR THAT ACCESS TO THE WEBSITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
AscendRx makes no representations or warranties regarding the accuracy or completeness of any content on the website, including but not limited to product descriptions, research summaries, or educational materials. AscendRx does not warrant that any compounds will produce specific research outcomes. The suitability of any product for a given research application is the sole responsibility of the researcher.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ASCENDRX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION: LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; OR (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT — WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL ASCENDRX’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNTS YOU HAVE PAID TO ASCENDRX IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.
11. Indemnification
You agree to defend, indemnify, and hold harmless AscendRx, its officers, directors, employees, agents, suppliers, and affiliates from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) your use or misuse of any AscendRx product; (c) your violation of any applicable law, regulation, or third-party right; or (d) any claim that your use of an AscendRx product resulted in harm, injury, or damage to any person or entity.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
Prior to initiating any formal legal action, you agree to first attempt to resolve any dispute informally by contacting AscendRx directly. If the dispute is not resolved within thirty (30) days of the initial notice, either party may proceed with formal legal remedies. You agree that any claim or cause of action arising out of or related to these Terms or the Services must be filed within one (1) year after such claim or cause of action arose, or be forever barred.
13. Severability & Waiver
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions.
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of AscendRx to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

AscendRx reserves the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by updating the “Last Updated” date at the top of these Terms and, where practicable, by providing additional notice via email or on-site notification. Changes are effective immediately upon posting unless otherwise stated.
